Terms of Service
These terms apply when you use this website, request a quote, place an order, collect goods, or arrange delivery with Trade First Limited.
1. Agreement and business details
In these terms, Trade First, we, us, and our mean Trade First Limited. You means the person or organisation using the website, making an enquiry, requesting a quote, placing an order, collecting goods, or receiving goods.
Trade First can be contacted at info@tradefirst.co.nz, 027 346 0823, or 7B Canon Place, Pakuranga, Auckland. These terms apply unless we agree different written terms with you for a particular order or trade account.
2. Customers, trade use, and consumer law
The website is aimed mainly at trade and business customers buying building supplies for work purposes. We may still supply customers who are not buying for business purposes.
If you acquire goods or services from us for personal, domestic, or household use, nothing in these terms excludes, restricts, or modifies any rights or remedies you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other law that cannot be excluded.
If you acquire goods or services from us in trade and for business purposes, you agree, to the maximum extent permitted by law, that the Consumer Guarantees Act 1993 does not apply to that supply. You and Trade First agree that it is fair and reasonable to be bound by this provision because the goods are supplied for trade or business use and you can assess whether the goods are suitable for your job, plans, specifications, and installation method.
Nothing in these terms excludes liability for fraud, wilful misconduct, misleading or deceptive conduct, or any other liability that cannot lawfully be excluded.
3. Catalogue, prices, and GST
Catalogue information is provided to help customers compare current product lines. Images may be representative of a product range and may not show the exact sheet length, pack, batch, packaging, or product version supplied.
Prices are in New Zealand dollars. Product prices are shown excluding GST unless the price display says otherwise. GST-inclusive amounts may be shown for convenience. Freight, delivery, unloading, site access costs, special handling, and any other additional charges are not included unless they are expressly included in a written quote.
We try to keep product, price, and stock information accurate, but errors can occur. A website price, catalogue listing, stock count, or form submission is not an accepted order. If we discover an obvious pricing, stock, or product error before accepting an order, we may correct it and ask whether you still want to proceed.
Prices and availability may change without notice before we accept an order. Once we issue a written quote, the quoted price applies for the period stated in the quote. If no period is stated, the quote is valid for 7 days unless withdrawn earlier because of supplier price changes, stock changes, or an error.
4. Quotes, orders, and acceptance
A request quote form, contact form, email, phone enquiry, online checkout attempt, or cart submission is an enquiry only unless and until Trade First accepts the order. We may accept an order by issuing written confirmation, issuing an invoice, confirming pickup or delivery arrangements, or receiving and accepting cleared payment.
We may decline an enquiry or order, limit quantities, or require extra information before accepting an order. We may also decline an order if goods are unavailable, if delivery is not practical, if payment has not cleared, if there is a catalogue error, or if we reasonably consider that supply may be unsafe or unsuitable.
If a quote is based on information you provide, you are responsible for checking that the product, quantity, dimensions, delivery address, access details, and timing are correct before accepting the quote. We are not responsible for extra costs caused by incomplete or inaccurate information you provide.
5. Online checkout and payment
Some products may be enabled for online checkout. Products marked quote-only, products without active checkout configuration, or products with missing payment configuration cannot be purchased directly through online checkout.
Online card payments are processed through Stripe Checkout. We do not store full card details on this website. Stripe or your card issuer may apply their own terms, checks, fees, or authentication requirements.
Unless we approve trade account terms in writing, payment is due before goods are released for pickup or delivery. If we approve credit terms, payment is due by the date stated on the invoice or account terms. We may withhold further supply if invoices are overdue.
6. Ownership, risk, and security
Ownership of goods remains with Trade First until we have received full cleared payment for those goods and any related charges. Risk in the goods passes to you when goods are collected by you or your carrier, or when goods are delivered to the agreed delivery location.
If we supply goods on credit to a business customer, you grant us a security interest in the goods supplied and their proceeds to secure payment of all amounts owing to Trade First. You must do anything reasonably required to help us perfect or enforce that security interest under the Personal Property Securities Act 1999.
7. Pickup, delivery, and site access
Pickup is from the Trade First location we confirm with you. You are responsible for providing a suitable vehicle, safe loading arrangements, restraints, and enough people or equipment to collect and transport goods safely. You should check goods before leaving the pickup location.
Delivery is available only where we confirm it in writing. Delivery charges depend on location, order size, site access, timing, and any special handling requirements. Delivery dates and times are estimates unless we expressly agree otherwise in writing.
You must ensure the delivery site is safe, accessible, and suitable for the delivery vehicle and goods. This includes giving us accurate address details, access restrictions, unloading instructions, contact details, and any relevant health and safety information. We may refuse to deliver, delay delivery, or charge additional costs if the site is unsafe, inaccessible, unattended, or materially different from the access information provided.
Unless we agree otherwise, delivery is to the accessible point we consider reasonable for the vehicle, site, and goods. We are not responsible for carrying goods through a site, upstairs, through finished areas, or into locations that may damage goods, property, or create safety risk.
8. Building products, suitability, and compliance
Trade First supplies building products. We do not provide architectural, engineering, building consent, fire design, bracing design, waterproofing design, quantity surveying, or installation advice unless we expressly agree to do so in writing.
You are responsible for checking that products are suitable for your intended use, plans, specifications, site conditions, consent documents, Building Code requirements, system requirements, and installation method. Where required, you must use appropriately qualified or licensed people for design and building work.
Building products must be transported, stored, handled, cut, fixed, installed, stopped, finished, protected, and maintained in accordance with manufacturer instructions, applicable system literature, relevant product information, and good trade practice. Plasterboard and similar sheet products must be protected from weather, moisture, impact, and unsuitable storage conditions.
Where building product information is required by New Zealand building product information regulations, we will provide or link to available manufacturer or importer product information where required and reasonably practicable. You should review that information before ordering and before installation.
9. Returns, shortages, damage, and faulty goods
Please check goods as soon as possible on pickup or delivery. If goods appear damaged, incorrect, short-supplied, or materially different from the accepted order, contact us promptly and before installing, cutting, modifying, or using the goods where possible. Keep relevant packaging, photos, delivery notes, and batch or product information so we can assess the issue.
Change-of-mind returns are not automatic. We may agree to a change-of-mind return at our discretion if the goods are standard stock, unused, undamaged, in resaleable condition, and returned within the timeframe and process we approve. We may decline returns for special-order goods, damaged goods, opened packs, wet or weather-affected sheet products, goods that have been cut or installed, or goods no longer in resaleable condition.
If goods are faulty or not as ordered, we will assess the issue and provide any remedy required by law. Depending on the circumstances, this may include repair, replacement, refund, credit, or another remedy agreed with you. Any return approval does not limit rights you may have under laws that cannot be excluded.
10. Warranties, liability, and limitations
Manufacturer warranties, product guarantees, appraisals, and technical documents are provided by the relevant manufacturer or importer. We will pass on manufacturer warranty information where available, but we are not responsible for manufacturer statements except to the extent required by law.
To the maximum extent permitted by law, and subject to any rights that cannot be excluded, Trade First is not liable for indirect, consequential, special, or economic loss, including loss of profit, loss of revenue, project delay costs, liquidated damages, loss caused by incorrect installation, or loss caused by use of a product outside manufacturer instructions or project specifications.
For business customers acquiring goods in trade, and to the maximum extent permitted by law, our total liability for any claim connected with goods or services supplied by us is limited to the amount paid by you for the specific goods or services giving rise to the claim, or the cost of replacing those goods or supplying equivalent goods, at our option.
11. Website use and intellectual property
You may use this website to view products, request quotes, contact Trade First, and use checkout functions where available. You must not misuse the website, attempt to interfere with its operation, scrape it at unreasonable scale, submit false information, or use it for unlawful purposes.
Website content, layout, Trade First branding, and original website text are owned by Trade First or used under licence. Product names, product images, brand assets, and manufacturer information may be owned by their respective owners and are used for identification and catalogue purposes.
12. Privacy and communications
We collect and use personal information to respond to enquiries, prepare quotes, process orders, arrange pickup or delivery, take payment, maintain records, and meet legal obligations. More detail is set out in our Privacy page.
By contacting us or submitting a form, you confirm that the information you provide is accurate and that you have authority to provide it. We may contact you about the enquiry, quote, order, delivery, account, or related customer service matter.
13. Events outside our control
We are not responsible for delay or failure to perform where caused by events outside our reasonable control, including supplier delays, transport disruption, extreme weather, site access problems, strikes, shortages, regulatory action, power or internet outages, payment provider outages, or other events beyond our reasonable control.
14. Disputes and governing law
If there is a problem, contact us promptly so we can try to resolve it. We may ask for photos, delivery records, batch information, installation details, payment records, or other information reasonably needed to assess the issue.
These terms and any supply by Trade First are governed by New Zealand law. The New Zealand courts have non-exclusive jurisdiction, subject to any dispute forum or process that applies by law.
15. Changes to these terms
We may update these terms from time to time by publishing an updated version on this website. The terms that apply to an accepted order are the terms in effect when that order is accepted, unless we agree otherwise in writing.
